Organization, Management and Control Model pursuant to Legislative Decree 231/01
Modello di Organizzazione, Gestione e Controllo ai sensi del D. Lgs.231/01 PARTE GENERALE
In line with the commitments declared and undertaken in the Code of Conducts towards stakeholders, Bakelite Italia S.r.l. adopted, since the beginning, the Organization and Management Model provided for by Legislative Decree no. 231 of June 8, 2001, which introduced a regime of administrative liability for entities for certain types of crimes. The Model consists of a "General Part" relating to the reference legislation with the updating of the whistleblowing procedure following Legislative Decree 24/2023 as provided for by EU Directive 2019/1937, and the "Special Part" related to all applicable protocols within the business in order to avoid the crimes listed in this regulation.
Any violation or suspicion of violation of Model 231/01 and/or any other information relating to the implementation of the Model as well as to what is provided for by Legislative Decree 24/2023 can be reported to the Supervisory Body through the methods indicated in the paragraph "Whistleblowing Policy" on pages 39 and 40 of the attached document "General Part of the Organizational and Management Model of Bakelite Italia S.r.l. (Italian version only). "

“In linea con gli impegni dichiarati e assunti con il Codice di Condotta nei confronti degli stakeholder, Bakelite Italia S.r.l. ha adottato, sin dall’inizio, il Modello di Organizzazione e di Gestione previsto dal Decreto Legislativo 8 giugno 2001, n. 231, che ha introdotto un regime di responsabilità amministrativa a carico delle società per alcune tipologie di reati. Il Modello è costituito da una “Parte Generale” relativa alla normativa di riferimento con l’aggiornamento della procedura whistleblowing a seguito del D.lgs. 24/2023 come previsto dalla Direttiva UE 2019/1937, e da singole “Parti Speciali” applicabili a tutti i protocolli aziendali in modo tale da prevenire la commissione dei Reati elencati nel decreto.
Ogni violazione o sospetto di violazione del Modello 231/01 e/o ogni altra informazione attinente all'attuazione del Modello nonché a quanto previsto dal D.lgs. 24/2023può essere segnalata all'Organismo di Vigilanza tramite le modalità indicate nel paragrafo “La Policy Whistleblowing” a pagina 39 e 40 del documento in allegato “Parte Generale del Modello di organizzazione e di gestione di Bakelite Italia S.r.l.”
